What TAS can do for Lawyers

Handling your clients’ mergers, acquisitions & divestitures, partnership disagreements or bankruptcy procedures, you need accurate appraisals to protect the best interests of your clients and obtain the most favourable outcomes.

Discretion, confidentiality and due diligence are critical to you and are hallmarks of TAS professional services.  TAS is your source for:

  • asset verification—visual confirmation and listing of assets and inventories
  • asset and inventory valuations—detailed appraisals to summary valuations
  • inventory analysis—realistic valuations not just cost figures
  • asset and inventory disposition recommendations—private sale, auction or liquidation
  • expert witness consultation

Scope of Services

Asset Verification

Independent verification of stated assets is valuable in any situation where the assets are going to change hands or are under dispute.  A written record helps establish if assets are subsequently removed from a premises without authorization and provides a template for negotiation or to determine disposition tactics.

Asset and Inventory Valuations

A TAS Full/Detailed Appraisal, Summary Valuation or Desktop Opinion of Value will tell you what it really is worth. Click here to read more about Types of Appraisals.

TAS will consult with you and your client and recommend the reporting option that best suits the circumstances.  We then provide information that is critical to your advising your client in their best course of action.

Our reporting is performed in the strictest confidence and is shared only with those parties who have retained our services.

Example:

Your client is involved in a partnership dispute. In most cases, these disputes are based on a disagreement in value. You engage TAS to provide a Summary Valuation of the business that provides a Going Concern Value (GCV) of assets, leaseholds and inventories.

Our report will arm you with information that is fully supported by our accreditation with CPPAG and is truly independent. This Summary Valuation is a cost effective method to establish the value that is in dispute. Should additional detail or consultation be required, you now have TAS on your side to assist.

Inventory Analysis

In many circumstances, a simple cost value of inventory may be misleading as this won’t take into account age, quality or cost to convert unfinished inventories to finished goods.

Through discussions with the company and inspection of the inventories, TAS will provide additional information yielding a more realistic valuation.

We will look at the marketability and saleability of the inventory in a pre- determined time frame and help you recognize any “red flag” scenarios that may occur or that should be addressed.

As with our valuation services, TAS will customize our reporting to make sure that your questions concerning the inventories of the file are answered. Our level of analysis depends on what you and your client need to know.

Example:

You are working with a client on the purchase of a company. The accountants from the company have provided a detailed inventory and the terms of the sale are based on your client paying cost for this inventory as part of the overall purchase price.

By engaging TAS, we will review this inventory from a cursory or detailed perspective and deliver a report that provides a third party opinion of the condition of the inventory (age, staleness, etc) as well as a realistic value based on the terms of the sale. In some cases, the cost of our services can be split between purchaser and vendor.

Asset Disposition

TAS facilitates asset and inventory dispositions from single piece sales to on-site auction and/or liquidation services including live, proxy and Internet bidding.

We can help with marketing the assets and advise on “best case scenario” strategies based on our experience and relationships within the auction and liquidation industry.

TAS will work with the other professionals you may engage to deliver the best information possible, allowing you to advise your client most effectively.

Expert Witness Consultation

TAS will assist in your review or analysis of Third Party valuations or appraisals that may be called into question.

With more than 18 years experience and CPPAG accreditation, a Senior Appraiser will work with you and your client and provide an independent, expert opinion of the findings. We will offer analysis and insight into the methods of valuation (click here for definitions of Valuation Methods), current market conditions and other factors affecting value.
